within the prescribed time period.

EXPLANATION:

The Form 10-KSB could not be filed within the prescribed time period due to the
finalization by the registrant of negotiations surrounding financing activities.
For this reason the registrant could not finalize a complete and accurate Form
10-KSB within the prescribed period.

Net loss for the fiscal year ended September 29, 1999, is expected to be
approximately $301,344 as compared to net loss of $2,299,902 for the fiscal year
ended September 27, 1998.
