      The Company has not been able to compile the requisite financial data and
other narrative information necessary to enable it to have sufficient time to
complete the Company's Quarterly Report on Form 10-Q by August 16, 1999, the
required filing date, without unreasonable effort and expense.

      It is anticipated that the Company will report a net loss of approximately
$600,000 to $700,000 for the quarter ended June 30, 1999, which compares to net
income of $28,649 for the quarter ended June 30, 1998.
