     The process of compiling and disseminating the information required to be

completion of the required review of the Company's financial information, could

                                Item 3 Response

     The Company substantially changed its business operations for the 2000
reporting period compared to its operations for the 1999 period. The Company
will report net sales of approximately $18.6 million this fiscal year, compared
to net sales of approximately $63.8 for the prior fiscal year. Net loss for the
year ended March 31, 2000 is approximately $3.6 million, compared to a net loss
of approximately $3.5 million for the year ended March 31, 1999.
