Item 5. Other Events.

On November 20, 2000, United States Cellular Corporation, an 82.5%
owned subsidiary of Telephone and Data Systems, Inc., announced that its wholly
owned subsidiary, USCC Wireless Investment, Inc., is a limited partner in Black
Crow Wireless, L.P., a Delaware limited partnership. Black Crow Wireless L.P.
has been accepted for filing in the upcoming C and F block broadband PCS
spectrum auction (No. 35), scheduled to begin on December 12, 2000.
This Current Report on Form 8-K is being filed for the purpose of
filing the news release issued by U.S. Cellular relating to such announcement as
an exhibit.
