ITEM 1    SECURITY AND ISSUER.

          This Statement on Schedule 13D is filed in respect of the beneficial
ownership of Common Stock, without par value ("Common Stock"), of Vlasic Foods
International Inc. (the "Company").

          The address of the principal executive offices of the Company is
currently Campbell Place, Camden, New Jersey 08103.

ITEM 2.  IDENTITY AND BACKGROUND

         (a) The name of the person filing this statement is Mary Alice Dorrance
Malone.

         (b) Her address is Iron Spring Farm, 75 Old Stottsville
Road, Coatesville, Pennsylvania 19320.

         (c) The principal occupation of Mary Alice Dorrance Malone is private
investor.

         (d) During the last five years, Mary Alice Dorrance Malone has not been
convicted in a criminal proceeding (excluding traffic violations or similar
misdemeanors).

         (e) During the last five years, Mary Alice Dorrance Malone has not been
a party to any civil proceeding of a judicial or administrative body of
competent jurisdiction as a result of which she was or is subject to a judgment,
decree or final order enjoining future violations of, or prohibiting or
mandating activities subject to, federal or state securities laws or finding any
violation with respect to such laws.

         (f) Mary Alice Dorrance Malone is a citizen of the United States of
America.

ITEM 3.  SOURCE AND AMOUNT OF FUNDS OR OTHER CONSIDERATION.

          On March 30, 1998, Campbell Soup Company ("Campbell") distributed the
shares of the Company, which prior thereto was a wholly owned subsidiary of
Campbell, to the shareholders of Campbell of record on March 9, 1998 (the
"Record Date").  Mary Alice Dorrance Malone was a shareholder of record of
Campbell on the Record Date and acquired the shares of Common Stock of the
Company pursuant to this distribution.

ITEM 4.  PURPOSE OF TRANSACTION.

          Mary Alice Dorrance Malone currently holds shares of Common Stock of
the Company as an investment. She may, subject to applicable securities laws,
market conditions and her assessment of the business prospects of the Company,
acquire additional shares of Common Stock from time to time through open market
purchases or otherwise. Although Mary Alice Dorrance Malone has no present
intention of selling shares of Common Stock, she may decide in the future to
dispose of any or all of the shares of Common Stock currently owned by her.

          Mary Alice Dorrance Malone is communicating with her brother, Bennett
Dorrance, who beneficially owns shares of Common Stock that he received in the
distribution by Campbell referred to above, regarding their individual
objectives in respect of their current equity positions in the Company. She
intends to continue these communications on a regular basis and may, in
addition, communicate with other members of her family owning Common Stock
regarding their individual investment objectives and any proposals that the
Company may make to shareholders, although she has no agreements, arrangements
or understandings with any of these persons with respect to the holding, voting,
acquisition or disposition of shares of Common Stock.

          Mary Alice Dorrance Malone is co-Executor of the estate (the "Estate")
of John T. Dorrance, Jr., her father, along with Bennett Dorrance and her
brother John T. Dorrance, III. As co-Executors of the Estate, the Dorrances
intend to confer in their fiduciary capacities in respect of voting the shares
of Common Stock held in the Estate, although there is no understanding,
arrangement or agreement that any of them will be bound to vote as the others
vote in respect of any matter which may be brought before the shareholders of
the Company or with respect to the acquisition or disposition of shares of
Common Stock or that they will otherwise act in concert in respect of any matter
relating to the Company. Accordingly, Mary Alice Dorrance Malone disclaims that
a group has been formed with Bennett Dorrance, John T. Dorrance, III or any
other person within the meaning of Rule 13d-5 under the Securities Exchange Act
of 1934, as amended.

          Other than as discussed above, Mary Alice Dorrance Malone currently
has no plans or proposals (but reserves the right to develop such plans and
proposals) which relate to or would result in any of the following actions:

          (a) the acquisition by any person of additional securities of the
Company, or the disposition of securities of the Company;

          (b) an extraordinary corporate transaction, such as a merger,
reorganization or liquidation, involving the Company or any of its subsidiaries;

          (c) a sale or transfer of a material amount of assets of the Company
or of any of its subsidiaries;

          (d) any change in the present board of directors or management of the
Company, including any plans or proposals to change the number or term of
directors or to fill any existing vacancies on the board;

          (e) any material change in the present capitalization or dividend
policy of the Company;

          (f) any other material change in the Company's business or corporate
structure;

          (g) changes in the Company's charter, bylaws or instruments
corresponding thereto or other actions which may impede the acquisition of
control of the Company by any person;

          (h) causing a class of securities of the Company to be delisted from a
national securities exchange or to cease to be authorized to be quoted in an
inter-dealer quotation system of a registered national securities association;

          (i) any action similar to any of those enumerated in (a) through (h)
above.

ITEM 5.   INTERESTS IN SECURITIES OF THE ISSUER.

          As of the date hereof, Mary Alice Dorrance Malone may be deemed to
beneficially own 5,442,537 shares of Common Stock, or approximately 12.0% of the
outstanding shares of Common Stock, in respect of which she has dispositive
power and voting power as follows:

          (i) 5,411,843 shares of Common Stock: sole dispositive power and sole
          voting power.

          (ii) 30,694 shares of Common Stock: shared dispositive power and
          shared voting power.  Mary Alice Dorrance Malone holds these shares of
          Common Stock as one of the Executors under the Will of John T.
          Dorrance, Jr.  Mary Alice Dorrance Malone disclaims beneficial
          ownership of such 30,694 shares of Common Stock.

          Prior to the death of her father, John T. Dorrance, Jr., on April 9,
1989, Mary Alice Dorrance Malone renounced a 1.2% interest in the assets of a
Trust under the Will of John T. Dorrance, Sr. which would become distributable
to her and transferred such interest to a Trust for the benefit of her minor
children, the Trustees of which are her husband and cousin. On March 30, 1998,
2,911 shares of Common Stock were distributed to this Trust pursuant to the
distribution by Campbell of the shares of Common Stock of the Company to
Campbell's shareholders. Mary Alice Dorrance Malone disclaims beneficial
ownership of these shares of Common Stock.

ITEM 6.  CONTRACTS, ARRANGEMENT, UNDERSTANDINGS OR RELATIONSHIPS WITH RESPECT TO
SECURITIES OF THE ISSUER.

          As discussed above, Mary Alice Dorrance Malone, Bennett Dorrance and
John T. Dorrance, III serve as co-Executors of the Estate, which holds 30,694 
shares of Common Stock. In addition, Mary Alice Dorrance Malone has confirmed in
writing to the Company that she has no current intention of disposing of any 
shares of Common Stock.
