1. Applicant hereby amends Item 1. Description of Proposed
Transaction by adding the following to the end thereof:
Market conditions prevailing at the time of the offering may
warrant the issuance of the Series G Bonds with floating interest rates during
all or a portion of the stated life of the Series G Bonds. The SEC has
required that it reserve jurisdiction over the terms and conditions of any
floating interest rate which would be included in the Note to reflect the
terms and conditions of the Series G Bonds.
2. Applicant also amends Item 1. Description of Proposed Transaction by
deleting in its entirety paragraph four which was contained in Post-Effective
Amendment No. 23, Section Number 2.
