4.      Summary of Material Change

         Creo Products Inc. (NASDAQ: CREO, TSE: CRE) ('Creo') announced that it has completed a further (US)$32
         million investment in printCafe Inc., an Internet-based, business-to-business communication solution tailored
         specifically for the printing and graphic arts industries.

5.      Full Description of Material Change

         Creo has completed a further (US)$32 million investment in printCafe, Inc. as part of a larger (US)$62.5 million
         private placement completed by printCafe, Inc. with both existing and new investors. Through a wholly owned
         subsidiary, Creo has acquired 8,000,000 shares of non-voting Series E-3 Preferred stock in the capital of
         printCafe at a purchase price of (US)$4.00 per share. The aggregate investment was satisfied by a further
         investment of (US)$5 million, conversion of a note in the principal amount of (US)$5 million and the issuance of
         692,433 Common shares of Creo at a deemed price per share of (US)$31.77.
