ITEM 5.	OTHER EVENTS
		
		On March 11, 1998, a single series 
of certificates, entitled LB Commercial Mortgage 
Trust, Commercial Mortgage Pass-Through Certificates, 
Series 1998-C1 (the "Certificates"), was issued 
pursuant to a pooling and servicing agreement (the 
"Pooling and Servicing Agreement"), entered into 
by and among Structured Asset Securities Corporation 
(the "Registrant") as depositor, GMAC Commercial 
Mortgage Corporation, as master servicer and special 
servicer, La Salle National Bank as trustee and ABN 
AMRO Bank N.V., as fiscal agent.  The Pooling and 
Servicing Agreement is attached hereto as Exhibit 
4.1.  Certain classes of the certificates, designated 
4.2.  Class A-1, Class A-2, Class A-3, Class B, 
4.3.  Class C, Class D, Class E and Class IO 
4.4.  (collectively, the "Underwritten Certificates"), 
4.5.  were registered under the Registrant's 
4.6.  registration statement on Form S-3 (no. 33-96378) 
4.7.  and sold to Lehman Brother's Inc. (the 
4.8.  "Underwriter") pursuant to an underwriting agreement 
4.9.  (the "Underwriting Agreement") entered into by and 
4.10.  between the Registrant and the Underwriter.  The 
4.11.  underwriting Agreement is attached hereto as 
4.12.  Exhibit 1.1.
