of the General Rules and Regulations under the Act. The information

The Registrant has been unable to complete its 10-Q filing for the
period ended September 30, 2000 due to the unavailability of certain financial
and other information necessary to complete the Form 10-Q timely.
The Registrant anticipates filing its Form 10-Q for the period ended
September 30, 2000 on or before November 20, 2000.
