State below in reasonable detail the reasons why Forms 10-K,
20-F, 11-K, 10-Q, N-SAR, or the transition report or portion
thereof, could not be filed within the prescribed time period.
On July 1, 1998, Main Street Bancorp, Inc. (the
"Company") changed administrators for the Main Street
Bancorp, Inc. 401(k) Retirement/Savings Plan. The present
administrator has experienced difficulty during the
transition process in being able to provide the financial
data necessary to file the Company's 11-K in a timely
manner.
