Paul M. Zogas and Charles A. Zogas hereby amend, as set forth below, the
Statement on Schedule 13D filed on August 3, 1998 (the "Statement") relating to
the Common Stock of Midland Capital Holdings Corporation. Capitalized terms used
herein that are not otherwise defined shall have the meanings given to them in
the Statement.
Item 3. Source and Amount of Funds or Other Consideration
In November, 1999 the Office of Thrift Supervision (the "OTS") issued
letters confirming that Paul M. Zogas has regulatory approval to purchase an
additional 5,823 shares of Common Stock of Midland Capital Holdings Corporation
to bring the stock ownership, as defined by the OTS stock ownership rules, of
Messrs. Paul M. Zogas and Charles A. Zogas to 214,745.
Paul M. Zogas acquired 6,020 additional shares of Common Stock of Midland
Capital Holding Corporation on the dates and for the prices set forth in Item
5(c) below for an aggregate cost of $108,457.50. All funds used to purchase said
shares were from personal funds.
In addition, Paul M. Zogas and Charles A. Zogas were each granted 4,312
shares of Common Stock of Midland Capital Holdings Corporation through the Bank
Incentive Plan and Trust. These shares vest at a rate of 20% per year (i.e. 862
shares per year) over a five year period, and are currently 80% vested.

105,142 representing 28.9% of the outstanding shares on December 23,
1999.
Aggregate number of shares beneficially owned by Charles A. Zogas:
84,623 representing 23.2% of the outstanding shares on December 23,
1999.
