State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed with the
prescribed time period. (Attach Extra Sheets if Needed)
The Form 10Q for Indesco International, Inc. (the "Company") cannot be
filed by November 14, 2000 due to recent transactions in connection with the
Company's financial restructuring, which included (i) entering into a new
credit facility with CIT; (ii) selling its wholly-owned subsidiary, AFA Polytek
B.V., and (iii) determining the manner in which to account for the Company's
decision not to pay the interest on its 9.75% Senior Subordinated Notes due
April 15, 2008, all of which was previously disclosed in the Form 8-k filed by
the Company on October 27, 2000. The foregoing transactions and their impact on
the Compoany's financial condition and operations are the subject of review by
the Company's management and professional advisers.
