Explanation of Responses:
(1) Includes shares distributed pursuant to an employee stock purchase plan and
shares distributed from a fund, and gives effect to gifts to Mr. Jordan's
spouse as custodian for his minor children, which transfers are permitted
to be reported on a deferred basis and will be reported by the filer hereof
on a Form 5 within 45 days after the end of this calendar year.
(2) Mr. Jordan disclaims beneficial ownership of the shares owned by his
children.
(3) Gives effect to gifts made by Mr. Jordan to his spouse as custodian for his
minor children, which transfers are permitted to be reported on a deferred
basis and will be reported by the filer hereof on a Form 5 within 45 days
after the end of this calendar year.
