Item 5.   Other Events.

     In connection with the offering of the Distribution Financial Services RV
Trust 1999-3 Asset Backed Notes (the "Notes"), Deutsche Bank Securities Inc., as
the lead underwriter of the Notes, has distributed certain "computational
materials" to potential investors, which materials are attached hereto as
Exhibit 99.1. The computational materials provided by the other underwriter,
Morgan Stanley Dean Witter, were identical to those provided by Deutsche Bank
Securities Inc. except for the legends of Morgan Stanley Dean Witter attached
thereto. The legends attached to the computational materials provided by Morgan
Stanley Dean Witter are included in Exhibit 99.2.

     Pursuant to Rule 311 of Regulation S-T, the Registrant is filing the
Exhibits hereto by paper filing on Form SE.
