                             PART III - NARRATIVE

State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F, 10-Q,
N-SAR or the transition report portion thereof could not be filed within the
prescribed time period.  (Attach extra sheets if needed.)

The Company is unable to file its Form 10-Q for the quarter ended September 30,
2000 within the prescribed time period due to its continuing discussions with an
unaffiliated customer regarding the collectibility of amounts due for services
rendered under a significant outsourcing contract. Such information will be
available, at least in preliminary form, during the next several days and the
financial impact of such resolution is expected to be material to the results of
operations for both the three and nine month periods ended September 30, 2000.

         The company reported a net loss of $228,000 for the three months ended
         September 30, 1999, and, depending on resolution of the matter
         discussed in Part III above, the Company anticipates reporting a net
         loss of approximately $550,000 for the corresponding period in 2000.
         For the nine months ended September 30, 1999, the Company reported
         net income of $2.9 million. Pending resolution of the matter discussed
         in Part III above, the Company anticipates reporting a net loss of
         approximately $750,000 for the corresponding period in 2000.
