On August 16, 2000, Lodgian filed a complaint in the United
States District Court for the Southern District of New York against the
Reporting Persons (the "Lodgian Complaint") asserting a claim for violations of
Section 13(d) of the Securities Exchange Act of 1934, as amended. The Reporting
Persons believe that the claim set forth in the Lodgian Complaint is wholly
without merit and intend to contest such claim vigorously. The above description
of the Lodgian Complaint is qualified in its entirety by reference to the
Lodgian Complaint, a copy of which is attached hereto as Exhibit 21 and which is
hereby incorporated by reference herein.
