The Registrant was unable to file the Form 10-Q for the fiscal quarter
ended September 30, 2000 (the "Report") without unreasonable effort or expense
due to the related delays in gathering information for inclusion in the Report
associated therewith.

(3) Is it anticipated that any significant change in results of
operations from the corresponding period for the last fiscal year will be
reflected by the earnings statements to be included in the subject report or
portion thereof?

The following is an explanation of the anticipated change, both
narratively and quantitatively. The Company expects that, when filed, the Form
10-Q Results of Operations will reflect a net loss of approximately $21 million,
as compared to a net income of approximately $11 million in the corresponding
quarter of 1999. In addition, the Company expects to show and Operating Loss of
approximately $5 million this quarter as compared to an Operating Income of
approximately $17 million in the same quarter of 1999.
