          Additional time is required to prepare and file the Form 10-QSB for
          the period ended September 30, 2000 due to the recent merger of the
          Registrant with an operating company and the legal and accounting
          complexities resulting from this merger. See the Form 8-K filed on
          October 23, 2000.

     The Company anticipates that it will reflect a loss for the three month
period ending September 30, 2000 of approximately $.065 per share versus a loss
for the corresponding period in 1999 of approximately $.026 per share. Such
increased loss is attributable to management's concentration on the hiring and
integration of a substantial number of additional personnel into the Company's
operations, industry market conditions, and substantially increased overhead
pertaining to the hiring of such additional personnel, including, but not
limited to, new office build-out expenses and additional office equipment.

amendments thereto must be completed and filed with the Securities and Exchange

Rules and Regulations under the Act. The information contained in or filed with
the form will be made a matter of public record in the Commission files.

     3. A manually signed copy of the form and amendments thereto shall be filed
with each national securities exchange on which any class of securities of the
registrant is registered.

     4. Amendments to the notifications must also be filed on Form 12b-25 but
