             This statement on Schedule 13G relates to the common stock, par
value $.01 per share ("Common Stock"), of Lennox International Inc., a Delaware
corporation (the "Company"), and is filed by AOC Corporation ("AOC"). AOC holds
directly (as to 2,695,770 shares) the shares of Common Stock reported as
beneficially owned in this statement.
