ATTACHMENT A
The Quarterly Report on Form 10-QSB for the three months ended March
31, 1999 of Heartland Bancshares, Inc. (the "Company") cannot be timely filed
without unreasonable effort and expense. The Company has recently employed a
full-time Chief Financial Officer who will assist in the preparation of the
report and who requires additional time to review the financial statements for
the period. The Company represents that the reasons for its inability to timely
file its Form 10-K could not be eliminated without unreasonable effort or
expense.
