We have prepared this prospectus supplement to update information included
in our prospectus dated May 3, 1999. Our prospectus relates to the offer and
issuance of up to 4,000,000 shares of our common stock in acquisitions of other
businesses. This prospectus supplement includes a brief description of our most
recent acquisition, which closed in September 1999.
Recent Acquisition
On September 3, 1999 we acquired Uplink, Inc., a non-metropolitan internet
service provider based in Montoursville, Pennsylvania. At June 30, 1999, Uplink
had annualized revenues of approximately $8.5 million and more than 4,500
subscribers. We paid approximately $8.8 million, consisting of approximately
$4.4 million in cash and up to 247,053 shares of our common stock, for this
acquisition.
Resignation of Michael C. Crabtree
On September 30, 1999 Michael C. Crabtree resigned from his positions as
President--Southeast Operating Group and a Director of OneMain.
