The registrant is unable to file its Form 10-Q for the quarter ended
June 30, 2000 within the prescribed period because it has been delayed in
completing its financial statements. However, the registrant fully expects to be
able to file within the additional time allowed by this report.

The 2nd fiscal quarter of 2000 revenues were down by approximately 45% as
compared to the figures for the 2nd fiscal quarter of 1999 due to the ongoing
decline in telecom revenues as that part of the business was de-emphasized.
Telecommunication expense and SG&A were down by a combined 53% resulting in a
YTD loss slightly lower than the previous year.
