thereof could not be filed within the prescribed period.

The Company's Form 10-KSB is the first annual report the Company has filed after
being listed on the OTC Bulletin Board. The Company is compiling the information
required for the Form 10-KSB but has just received today the audited financial
statements and is unable to file the Form 10-KSB timely without unreasonable
effort and expense.
