The Registrant is unable to file its Quarterly Report on Form 10-Q for the
quarter ended June 30, 1999 within the prescribed time period without
unreasonable effort and expense as, due to the limited available staff and time
the Registrant has been focusing its efforts on completion of its Form 10SB/A
filings with SEC, and has been unable to prepare, complete, and file the
requisite 10QSB in a timely manner.
