                             PART III--NARRATIVE

The annual report of Discovery Investments, Inc. (the "Company") on Form 10-K
could not be filed within the prescribed time period because the Company's
audited financial statements were not completed and could not be completed
within the prescribed time period without unreasonable effort or expense.
Without complete financial statements, the narrative portions of the report
could not be completed. As a result, the Company could not solicit and obtain
the necessary review of the Form 10-K and signature thereto by a majority of its
board of directors in a timely fashion prior to the due date of the report. The
Company anticipates that its report on Form 10-K will be filed on or before the
fifteenth calendar day following its prescribed due date.
