State below in reasonable detail the reasons why the Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period.
The quarterly report of Discovery Investments, Inc. (the "Company") on Form
10-QSB could not be filed within the prescribed time period because the
Company's quarterly financial statements were not completed and could not be
completed within the prescribed time period without unreasonable effort or
expense. The Company anticipates that its report on Form 10-QSB will be filed on
or before the fifth calendar day following its prescribed due date.

The Company has entered into a Rescission Agreement and Mutual
Release as it relates to the acquisition of LLO-Gas, Inc., a
Delaware corporation from John Castellucci. LLO-Gas, Inc., has
filed a Voluntary Petition under Chapter 11 of the Bankruptcy
Code in United States Bankruptcy Court, Central District of
California, San Fernando Valley Division, Case Number
SV 00-15398-AG. Except for certain actual and contingent
obligations which arose during the period of time that LLO-Gas,
Inc. was wholly owned subsidiary, there will be no significant
changes in results of operations from the corresponding period
for the last fiscal year.
