The Company is unable to file its form 10-KSB (the "Report") within the
prescribed period without unreasonable effort or expense due to recently
encountered ministerial difficulties. Such difficulties have prevented the
Company from compiling and formatting information necessary to the Report. The
balance of the Report may not be filed as such information forms an integral
component of the Report. The Company fully expects to be able to file within the
additional time.
