PART III - NARRATIVE

State below in reasonable detail the reasons why the Form 10-KSB, 20-F, 11-K,
10-QSB or N-SAR or the transition report or portion thereof could not be filed
within the prescribed period.

     Accident Prevention Plus, Inc., a Nevada corporation (the "Company"), did
not receive the financial statements and certain necessary information from the
Company's subsidiaries in an timely manner. The accountants for Accident
Prevention Plus (UK) Limited, a private limited company organized under the laws
of England and Wales, and the accountants for Accident Prevention Plus, France
(SARL), a limited liability company organized under the laws of France, provided
the respective financial statements and financial information to the Company;
however, the Company requires additional time to properly prepare its
consolidated financial statements and footnotes for quarter ended September 30,
2000. The quarterly report on Form 10-QSB will be filed on or before November
19, 2000.
