PART III - NARRATIVE

State below in reasonable detail the reasons why the Form 10-KSB,  20-F,
11-K, 10-QSB or N-SAR or the transition  report or portion  thereof could
not be filed within the prescribed period.

     Accident Prevention Plus, Inc., a Nevada corporation (the "Company"), has
not received financial statements and certain necessary information from the
Company's subsidiaries. The accountants for Accident Prevention Plus (UK)
Limited, a private limited company organized under the laws of England and
Wales, and the accountants for Accident Prevention Plus, France (SARL), a
limited liability company organized under the laws of France, have not provided
the respective financial statements and financial information to the Company.
Such financial statements and information are necessary in order for the Company
to properly prepare its consolidated financial statements and footnotes for
quarter ended June 30, 2000. The quarterly report on Form 10-QSB will be filed
on or before August 21, 2000.
