PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR or the transition report or portion thereof could not be filed
within the prescribed time period.

There are certain pending matters that the Company intends to disclose in its
quarterly report on Form 10-QSB for the quarter ended September 30, 2000.
However, the examination and analysis of such matters have not yet been
concluded. There are also certain pending matters that may require the Company
to restate its quarterly reports on Form 10-QSB for the quarters ended March 31,
2000 and June 30, 2000. The Company cannot, without unreasonable effort or
expense, complete its examination and analysis within the time specified for
filing the report. The Company will promptly file the report as soon as
practicable and, in any event, within the time limits prescribed by Rule 12b-25.

It is anticipated that the Registrant will restate revenues for the fiscal
quarters ended March 31, 2000 and June 30, 2000. The Registrant estimates that
revenues will decrease by $77,500 and $572,500 for the quarters ended March 31,
2000 and June 30, 2000, respectively. The Company estimates that revenues for
the quarter ended September 30, 2000 will be approximately $230,000. Inasmuch as
the Registrant's financial statements have not yet been finalized, the estimate
of these results is subject to further adjustment. The Registrant's financial
statements for the year ended December 31, 1999 are currently under audit, and
adjustments may be made to the financial statements for the year ended December
31, 1999, which may result in additional restatements to the quarters ended
March 31, 2000, June 30, 2000, and September 30, 2000.
