(1) Persuant to the terms and conditions of a Stock Exchange Agreement dated
November 18, 1999, the reporting person's common shares of Netserv Caribbean
Limited ("NETS") were converted into common shares of Netserv Communications
Inc. (the "Company") at the conversion rate of 0.766 shares of the common
stock of the Company for each share of NETS.
