PART I
INFORMATION REQUIRED BY THE REGISTRATION STATEMENT
Item 1. Plan Information.
NETGEN 2000, Inc. (hereinafter, the "Registrant"), since its inception on October 22, 1998, has received services from its chairman/chief executive officer relating to the development of the Companys business and continuing operations and business development and planning. The Registrant has also received services since the Registrants inception from a third party consultant and has recently engaged the services of corporate securities counsel for legal services. These arrangements are discussed below, and provide for the issuance of shares of the Registrants common stock (the "Shares"). In consideration for the prior and continuing services rendered and to be rendered to the Registrant until such time as the Registrant shall generate sufficient cash flow from operations in order to compensate its chairman/chief executive officer, a consultant and counsel, the Registrant has prepared this Form S-8 registration statement to provide for the issuance of Shares, as described below.The Registrant has agreed to issue to Julian Ferretti, chairman and chief executive officer of the Registrant, five hundred thousand Shares, in consideration for the services of Mr. Ferretti provided to Registrant and to be continued to be provided to Registrant. Such services include, but are not limited to serving as chairman of the board of directors, and acting chief executive officer.
The Registrant has also entered into a consulting agreement with Edward Muller pursuant to the Registrant has issued three hundred thousand Shares. The consulting agreement provides for such compensation to Mr. Muller in consideration for services to the Registrant relating to marketing of the Registrants business to business Internet products/services; providing services in connection with the Registrants corporate securities matters and business relations; and services relating to potential mergers and acquisition, among other services.
This Registration Statement also provides for the issuance of fifty thousand Shares to Thomas J. Craft, Jr., Esq., the Registrants corporate securities counsel, in consideration for continuing services to Registrant by Mr. Craft and his staff in connection with the preparation and review of all corporate securities filings with the Securities and Exchange Commission, assistance in the preparation and filing of this registration statement and the Registrants annual report on Form 10-KSB for its fiscal year ended December 31, 1999, and such other contracts and agreements between the Registrant and third parties as requested from time to time.

The Registrant has authorized 6,000,000 Shares of common stock, par value $.01 (the "Common Stock"), of which 4,610,400 Shares are issued and outstanding.
Holders of Registrants Common Stock are entitled to one vote per Share on each matter submitted to a vote of stockholders. Shares of Common Stock do not carry cumulative voting rights and, therefore, holders of the majority of the outstanding shares of Common Stock are able to elect the entire board of directors and, if they do so, minority stockholders would not be able to elect any members of the board of directors. Holders of Common Stock are entitled to receive such dividends as the board of directors may from time to time declare out of funds legally available for the payment of dividends. During the last two fiscal years, the Registrant has not paid cash dividends on its Common Stock and does not anticipate that it will pay cash dividends in the foreseeable future.

Craft, Jr., Esq., counsel to the Registrant in connection with the preparation of this Registration Statement on Form S-8, is the record owner of fifty thousand Shares of common stock, an undetermined number of which Shares will be beneficially owned by Mr. Crafts staff, none of whom are affiliates of the Registrant.
