State below in reasonable detail the reasons why the Form 10-K, 10-KSB, 11-K,
20-F, 10-Q, 10-QSB, N-SAR or the transition report portion thereof, could not be
filed within the prescribed time period. (Attach extra sheets if needed).
Timely filing of the registrants' Form 10-K was precluded because
the accountant and auditor employed by ePhone Telecom, Inc. (the
"Company") fell ill and was unable to complete the Company's annual
audit for 1999 in a timely manner. The Company became aware of this
fact at a late date. Thus, in order for the annual audit to be
successfully and accurately conducted, the Company was required to
hire a new auditor and familiarize such accounting firm with the
Company's financial records.
