The registrant could not file its annual report on Form 10-Q for the
quarter ended September 30, 2000 on the prescribed filing date for the following
reasons:
The Company announced on November 15, 2000, that it will
begin a phased shut-down of its retail operations and the sale of its
consumer business assets. The Company has filed a Current Report on
Form 8-K on November 15, 2000, with respect to this announcement.
Given the timing of the Company's announcement, the Company was not
able to complete the Company's Form 10-Q by the required filing date,
November 14, 2000.
