                                    Narrative

     State  below  in  reasonable  detail the reasons why Form 10-K, 11-K, 20-F,
10-Q,  N-SAR  or the transition report portion thereof could not be filed within
the  prescribed  time  period.  (Attach  extra  sheets  if  needed.)

     The  registrant  could not file its annual report on Form 10-K for the year
ended  June  30,  2000  on the prescribed filing date for the following reasons:

          The  Company's  management  has  been focusing on efforts to raise
     financing and  on  a  recently announced restructuring of the Company's
     business.  Due  the  extraordinary  demands upon management's time with
     respect to these activities in the  weeks preceding the required filing
     date for the Form 10-K, the Company was not able complete the Company's
     Form  10-K  by  the  required  filing  date,  September  28,  2000.

     The Company anticipates that it will report revenues of $15.5 million and a
net  loss  applicable to common stockholders of $38.7 million for the year ended
June  30, 2000 as compared to revenues of $5.4 million and a net loss applicable
to  common  stockholders of $21.8 million for the year ended June 30, 1999.  The
Company  also  anticipates  that  the  independent  auditor's  report  on  its
consolidated  financial  statements  in  the Form 10-K for the fiscal year ended
June  30,  2000,  will be qualified as to the Company's ability to continue as a
going  concern.
