Explanation of Responses:
(1) On January 23, 2000, the Reporting Person transferred ownership of 25,000 shares to an unaffiliated entity in satisfaction
of debt relating to investor relations services owed by the Issuer. The closing bid price of the Issuer's stock on
January 23, 2000 was $1.73 per share.
