State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
SAR, or the transaction report or portion thereof, could not be filed within
the prescribed time period.

     The Company has been dormant up until it entered into an Asset
Acquisition Agreement on May 31, 2000 and shifted to a new business plan.
Since the Company now has a new business plan, it has implemented new
accounting policies.

     The Company has been dormant up until recently when it entered into an
Asset Acquisition Agreement on May 31, 2000 and shifted to a new business
plan.  At this time, the Company is not capable of explaining this in a
quantitatively form.
