(1) Acquired in exchange for 2,900,000 shares of USARadio.com, Inc., a Texas
corporation ("USARadio Texas"), pursuant to the merger (the "Merger") of
USARadio Texas with and into the Issuer. The Merger was accounted for as
a recapitalization of USARadio Texas. The value of the shares of
USARadio Texas exchanged in the Merger are not calcuable.
