NARRATIVE
Following a change in management of the Corporation in October, 1999, new
management, despite diligent effort, has been unable to assemble
sufficiently the financial records of the Corporation to enable it
to complete the required financial statements for Form 10-Q to meet
the filing deadline for such form. Management anticipates that the required
financial information will be completed within the five-day extension
period provided by this Form 12b-25.
