Management learned this fall that its books and records needed to be
reconstructed. Because the company does not have any in-house accounting
employees it hired an outside accountant to create all necessary books and
records so that an audit could be performed for the years ended December 31,
1997 and 1998 and the Form 10-QSB for the period ended September 30, 1999 could
be filed on a timely basis. As of the date of this form, the company has not
received all the necessary books and records in order to prepare the
appropriate financial statements.
