Explanation of Responses:
1. On February 25, 2000, VoiceStream Wireless Corporation, a Washington
corporation ("VS Washington"), merged with a wholly-owned subsidiary of
VoiceStream Wireless Holding Corporation,
which is a Delaware corporation that was itself wholly owned by VS Washington,
and its shares were exchanged for shares of VoiceStream Wireless Holding
Corporation on a one for one basis.
Immediately after the transaction, VoiceStream Wireless Holding Corporation
changed its name to VoiceStream Wireless Corporation ("VS
Delaware").
2. The number of shares owned by the reporting person is based on an election
in connection with the merger between Omnipoint Corporation and VoiceStream
Wireless Corporation. Such
election does not become final until a later date so the number is not
determinable at this time.
3. Mr. Ross is trustee for the shares which are held for the benefit of an
adult child.
4. The number of shares and grant price of the option held by the reporting
person is based on a conversion formula in connection with the merger between
Omnipoint Corporation and
VoiceStream Wireless Corporation. Such election does not become final until a
later date so the number and price are not determinable at this time.
