The registrant was without sufficient funds with which to pay accountants
to complete an audit and report thereon for registrant's last full fiscal year
ended March 31, 2000; however, the necessary funds are now available and the
annual report of registrant on Form 10KSB will be filed on or before 15 days
from June 30, 2000.
