PART III - NARRATIVE
State below in reasonable detail the reasons why the Form 10-K and Form 10-KSB,
11-K, 20-F, 10-Q and Form 10-QSB, N-SAR, or other transition report or portion
thereof, could not be filed within the prescribed period.
Effective December 31, 1999, the Company discontinued its printing and
publishing operations in an effort to concentrate on its Internet-related
business activities. In January 2000, the Company relocated its headquarters to
the offices of Gregory Editions, Inc., which is owned and operated by the
Company's Chief Executive Officer. The Company's management has been focusing
efforts on raising capital to enable the Company to fund and expand its
operations. As a result of these circumstances, the Company is unable to file
its Form 10-QSB on the prescribed date without unreasonable effort or expense.

As a result of the discontinuation of its printing and publishing business, the
