ITEM 5.  OTHER EVENTS

     We have been advised that a large wireless  telecommunications  company has
selected  OnLine's  "OPS-500-385"  PFC  Module  for use in its  new,  innovative
telecommunications  s The identity of the company and the value of the potential
orders is not  disclosed by mutual  agreement,  pending  finalization  of formal
supplier agreements.

     The  company  has  advised us that they  intend to place a  purchase  order
shortly for our devices.  Finalization  of a formal  supplier  agreement with us
would make this telecommunications company the first volume customer for our new
line of high efficiency power supplies.  The process of finalizing and executing
the  supplier  agreement  is expected to begin  immediately  and be completed in
December 2000.

     The wireless  telecommunications  company earlier had ordered 800 units for
testing and evaluation.
