The Registrant's Annual Report on Form 10-QSB for the quarter ended May 31, 2000
could not be filed within the prescribed time period because the accounting
statements could not be prepared by the Company within such time period due to
the inability of the accounting firm to complete the work, which work could not
have been completed without unreasonable effort and expense.
