State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR, or the transition report or portion thereof, could not
be filed within the prescribed time period. (Attach Extra Sheets if Needed.)
The Registrant's Report on Form 10-K for fiscal year ended December 31, 1999 with respect to its
Mortgage Pass-Through Certificates, Series 1999-C8 could not be filed within the prescribed time period. Pursuant to the
Pooling and Servicing Agreement dated as of August 1, 1999 (the "Pooling Agreement") by and among the Registrant, as Depositor,
Midland Loan Services, Inc., as Master Servicer and Special Servicer, and State Street Bank and Trust Company, as Trustee
(in such capacity, the "Trustee"), the Trustee is directed and authorized to file, on behalf of the Registrant, a modified
Form 10-K with respect to the Certificates and the Trust Fund formed under the Pooling Agreement, which Form 10-K is to contain an
Annual Statement as to Compliance with the provisions of the Pooling Agreement from each of the master servicer and special servicer
and the servicing report of independent public accountants with respect to each such servicer. As of March 30, 2000, not all of
the servicers have delivered the required statements and reports to the Trustee. Because the Pooling Agreement does not require
the servicers to deliver these documents until March 31, 2000, the Trustee believes that such documents could not have been
obtained earlier without unreasonable effort or expense on the part of the Registrant or the Trustee. The Trustee intends to
file the Form 10-K on behalf of the Registrant on or before the 15th calendar day following the prescribed due date.
