On August 7, 2000, NTL Incorporated announced that it had signed an
agreement in partnership with Morgan Stanley Dean Witter Private Equity to buy
France Telecom's 49.9% stake in Noos, France's leading broadband company.
Item 5. Other Events.

On August 7, 2000, NTL Incorporated annouced that its Australian Division
will build a carrier-grade telecommunications network on the east coast of
Australia in partnership with WIN Television and Southern Cross Broadcasting.
