Explanation of Responses:
(1) The options became exercisable as to 50,000 shares on June 16, 2000 and
the remaining options will become exercisable at a rate of 50,000 shares
per year on each of June 16, 2001-2004.
(2) The options became exercisable as to 25,000 shares on each of January 1,
1997-2000 and the remaining options (representing 25,000 shares) will
become exercisable on January 1, 2001.
