ITEM 5. OTHER EVENTS
At the regular meeting of the Board of Directors of the
Company held on March 28, 1995, the Board authorized the
President to purchase at his discretion from time to time,
600,000 shares of the Company's common stock on behalf of
the Company. This Resolution supercedes any past Resolution
authorizing the purchase of the Company's stock by the President.
