ITEM 5. OTHER EVENTS
The Company extended its employment contract with
Leslie H. Goldberg to act as President for the period
commencing June 28, 1999 and terminating at the end of
the Company's fiscal year. All the provisions of the
prior contract with Mr. Goldberg remain the same.
